These Terms of Service (the "Terms") are a binding contract between Mindologi LLC ("Mindologi," "we," "us" "Company") and the individual accessing or using the Mindologi website(s), products, services, and software applications and mobile applications (("App" or "Apps"), collectively ("Services")), or the company, or other legal entity on behalf of which such individual is accessing or using the Services, as applicable ("user," "you," "your"). These Terms include the provisions in this document as well as those in the Privacy Policy mindologi.com/privacy-policy.
Please read these Terms carefully. They cover important information about Services provided to you and set out the rights and obligations of all users regarding the use of the Services Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. YOUR USE OF AND ACCESS TO THE SERVICES ARE SUBJECT TO THE FOLLOWING TERMS: YOU MUST AFFIRMATIVELY AGREE TO THESE TERMS OF SERVICE BEFORE YOU UPLOAD ANY CONTENT; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms from time to time. We will alert you about any changes, including fee changes, by notice within the Services and by updating the "last updated" date located at the beginning of these Terms. We will typically alert you about any changes on the platform at least 24 hours in advance of the change unless circumstances prevent us from doing so and reserve the right to make revisions at any time including retrospectively. We are not required to maintain or support the Services.
It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.
Mindologi does not permit those under the age of 18 to use the Services. You represent and warrant that you are an individual of legal age to form a binding contract. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization's or entity's behalf and bind them to these Terms (in which case, the references to "you" and "your" in these Terms, except for in this sentence, refer to that organization or entity).
We are the owner or the licensee of all intellectual property rights in and to the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). The Content and Marks are protected by patent, copyright, trademark, and trade secret laws and various other intellectual property rights and unfair competition laws and treaties, as the case may be, in the United States and around the world.
To the extent you submit, upload, transmit, or otherwise contribute any data, information, content, or materials to or through the Services, you acknowledge and agree that such content is provided on a non-proprietary basis as between you and Mindologi, and you grant Mindologi and its affiliates, service providers, licensors, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, analyze, perform, display, distribute, and otherwise process such content solely for the purposes of providing, operating, maintaining, securing, improving, and supporting the Services, including the development of aggregated, anonymized, or de-identified analytics and insights, in accordance with your account settings and the Privacy Policy.
You represent and warrant that you own or otherwise control all rights necessary to grant the foregoing license, and that your submission of any data or information does not violate any law, regulation, contractual obligation, or third-party right, including intellectual property, privacy, or confidentiality rights. All data and information you provide must comply with these Terms and all applicable laws and regulations.
YOU UNDERSTAND AND ACKNOWLEDGE THAT YOU ARE RESPONSIBLE FOR ANY DATA AND INFORMATION YOU SUBMIT OR CONTRIBUTE, AND YOU, NOT MINDOLOGI, HAVE FULL RESPONSIBILITY FOR SUCH CONTENT, INCLUDING ITS LEGALITY, RELIABILITY, ACCURACY, AND APPROPRIATENESS.
Subject to your compliance with these Terms, we grant you a nonexclusive, nontransferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your own personal, non-commercial use. Except as expressly provided by the preceding sentence, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any purpose whatsoever, including for training or development of competing products, services, artificial intelligence systems, or machine learning models. We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. You will not use the Services, Content or Marks on behalf of or for the benefit of any third party, including any individual or entity seeking clinical, medical, diagnostic, therapeutic, or treatment decisions, and will only use the Services, Content or Marks in a manner that complies with all laws that apply to you and not for any other purpose.
Except as may be expressly permitted by applicable law or expressly authorized by these Terms, you shall not:
You may be required to register to use the Services. You agree to keep your password confidential and secure and will be responsible for all use of your account, credentials, and password, whether authorized or unauthorized. We reserve the right to remove, reclaim, suspend, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, misleading, obscene, impersonating, or otherwise objectionable. We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability for any loss or corruption of any such data, and you hereby waive any right of action and covenant not to file any claim or suit against us arising from any such loss or corruption of such data.
These Terms become effective when you access the Services and will continue in effect until terminated by you or Mindologi as set forth in these Terms. You may terminate your account and these Terms at any time by discontinuing use of the Services and deleting all copies of the App from your device(s). We may terminate or suspend your account, and/or your access to the Services, immediately, without prior notice or liability, in our sole discretion for any reason whatsoever, including without limitation if you breach these Terms, misuse the Services, or create risk or legal exposure for Mindologi.
Upon termination, your right to use the Services will cease immediately, all licenses granted to you under these Terms will automatically terminate, and you must delete all copies of the App from your device(s). Termination shall not limit any of Mindologi's rights or remedies at law or in equity, and all provisions which by their nature should survive termination, provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, shall survive termination of these Terms.
Fees paid by App users are charged for access to the Services, data processing, analysis, and informational reports, and not for any guaranteed outcome, diagnosis, treatment, cure, or clinical result. Payment does not guarantee the accuracy, completeness, suitability, or applicability of any report or information provided through the Services.
All payments are processed by third-party payment processors, including Stripe, and are subject to such providers' terms and conditions. Mindologi does not store users' full payment card information. Users agree to comply with all applicable payment processor rules and acknowledge that Mindologi is not responsible for payment processing errors, interruptions, or third-party system failures.
Except where required by applicable law or expressly stated otherwise in writing, all fees are non-refundable once the applicable report, analysis, or access has been delivered or made available. Users agree not to initiate chargebacks or payment disputes without first contacting Mindologi to attempt resolution. Excessive or abusive chargebacks may result in account suspension or termination.
Mindologi does not practice medicine, provide medical care or medical devices, or deliver healthcare services. Mindologi does not diagnose, treat, cure, or prevent any disease or condition and the Services are not intended to be used to diagnose, treat, cure, or prevent any medical conditions or otherwise provide healthcare services and the Services are not a substitute for healthcare services. Any information provided through the Services constitutes information intended to support user understanding and decision-making only and not to replace professional judgment. The Services are not intended for emergency use. If you believe you are experiencing a medical or mental health emergency, you should immediately contact emergency services or a qualified healthcare provider.
THE SERVICES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS PROFESSIONAL OR MEDICAL ADVICE. THERE IS ABSOLUTELY NO ASSURANCE THAT ANY INFORMATION TOUCHING ON MEDICAL MATTERS IS TRUE, CORRECT, OR PRECISE. THE MEDICAL INFORMATION PROVIDED IN THE SERVICES IS OF A GENERAL EDUCATIONAL NATURE AND IS NOT APPLICABLE NECESSARILY TO YOU. THE SERVICES CANNOT SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. USE OF ANY INFORMATION PROVIDED IN THE SERVICES IS SOLELY AT USER'S OWN RISK. NOTHING STATED IN THE SERVICES IS INTENDED TO BE, AND MUST NOT BE TAKEN TO BE, THE PRACTICE OF MEDICAL OR COUNSELING CARE INCLUDING, PROVIDING HEALTH CARE TREATMENT, INSTRUCTIONS, DIAGNOSIS, PROGNOSIS OR ADVICE.
Users acknowledge and agree that no treatment, medication, diagnosis, or healthcare decision should be made based solely on information provided through the Services.
Any licensed healthcare professional who reviews information or provides clinician-reviewed content from or through the Services does so solely in their independent professional capacity. Mindologi does not supervise, direct, control, or interfere with the professional judgment, diagnosis, or treatment decisions of any clinician. Clinicians are not employees, agents, or representatives of Mindologi. For avoidance of doubt, any review, analysis, or input provided by licensed healthcare professionals through the Services is performed by such professionals acting independently and not as employees, agents, or representatives of Mindologi.
Mindologi maintains a directory of healthcare providers for informational and discovery purposes only. Certain providers may pay fees for enhanced or prioritized visibility. Such placement constitutes paid advertising and does not represent an endorsement, guarantee of quality, or recommendation by Mindologi. Mindologi does not evaluate, verify, or guarantee the credentials, services, availability, or outcomes of any provider listed on the Services. Users are solely responsible for selecting and engaging providers.
Mindologi is not a "covered entity" or "business associate" as defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), except where expressly agreed in writing through a separate Business Associate Agreement. Licensed healthcare providers using the Services are solely responsible for their own compliance with applicable healthcare laws and regulations, including HIPAA, state privacy laws, and professional obligations. User-submitted information is treated in accordance with Mindologi's Privacy Policy. Mindologi does not assume responsibility for the handling of protected health information by third-party providers.
The Services utilize AI-based systems that generate probabilistic outputs based on patterns in data. Content, analysis, summaries, insights, reports, or recommendations generated in whole or in part through automated, algorithmic, or artificial intelligence–based systems ("AI-Generated Output") may be incomplete, inaccurate, biased, outdated, or inappropriate for a user's specific circumstances. Mindologi makes no representations or warranties regarding the accuracy, completeness, or suitability of any AI-Generated Output. Users assume full responsibility for reviewing, validating, and verifying all AI-Generated Output with a qualified human professional before relying on it for any purpose. Reliance on AI-Generated Output without independent verification may result in harm.
THE SERVICES INCLUDING THE CONTENT ARE PROVIDED BY MINDOLOGI ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, MINDOLOGI, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE PRACTICE; THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR FREE OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED; OR AS TO THE ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICES; OR THAT THE SERVICES ARE FREE OF VIRUSES, SCRIPTS, TROJAN HORSES, WORMS, MALWARE, TIMEBOMBS OR OTHER HARMFUL COMPONENTS. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
To the fullest extent allowed by applicable law, under no circumstances and under no legal theory (including, without limitation, tort, contract, strict liability, or otherwise) shall any of Mindologi, its affiliates, directors, employees or agents be liable to you or to any other person for any indirect, special, incidental, punitive or consequential damages of any kind, including damages for lost profits, business interruption, loss of data, loss of goodwill, work stoppage, accuracy of results, or computer failure or malfunction, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the lesser of the amount paid, if any, by you to us during the 12-month period prior to any cause of action arising or $100. Some states do not allow the exclusion or limitation of incidental or consequential or certain other damages, so the above limitation and exclusions may not apply to you.
You agree to defend, indemnify, and hold harmless, the Mindologi, our affiliates and their respective directors, employees, and agents licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services, Content or Marks, violation of these Terms including any user content you add to the App other than as expressly authorized in these Terms or your use of any information obtained from the App.
These Terms, which incorporate our Privacy Policy, and any other legal notices, conditions or guidelines provided by Mindologi related to the use of the Services, embody the entire understanding of the parties and supersede all previous communications, representations or understandings, either oral or written, between the parties relating to the subject matter hereof. The delay or failure to assert a right or to insist upon compliance with any term or condition of these Terms will not constitute a waiver, or excuse a similar or subsequent failure to perform any such term or condition. A valid waiver must be executed in writing and signed by the party granting the waiver. If any provision of these Terms is found to be invalid or unenforceable, then the remainder of these Terms will have full force and effect, and the invalid provision will be modified, or partially enforced, to the maximum extent permitted to effectuate the original objective. These Terms are not intended to confer any right or benefit on any third party, and no action may be commenced or prosecuted against a party by any third party claiming as a third-party beneficiary of these Terms or any of the transactions contemplated by these Terms.
These Terms are governed by and will be construed under the laws of the State of California and applicable federal law, without giving effect to any choice-of-law provision that would require the application of the laws of a different jurisdiction. The parties agree to first attempt to amicably resolve any dispute arising out of or relating to these Terms or your use of the Services. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Either party may bring claims in small claims court if eligible in Los Angeles County California. This arbitration provision survives termination.
The Content and Services are based in the state of California in the United States and provided for access and use only by persons located in the United States. You acknowledge that you may not be able to access all or some of the Content and Services outside of the United States and that access thereto may not be legal by certain persons or in certain countries. If you access the Content and Services from outside the United States, you are responsible for compliance with local laws. California residents may have additional rights under California law, including the California Consumer Privacy Act and the California Privacy Rights Act. Information regarding how Mindologi collects, uses, discloses, and protects personal information, as well as how California residents may exercise their rights, is described in the Privacy Policy.
